Nature of PMSL

Pay My Student Loans ("PMSL") is a project of A77 Inc., a for-profit Canadian corporation. PMSL is not a registered charity, non-profit, crowdfunding platform, or financial institution. Ad purchases are not charitable donations and are not tax-deductible as such. You may be able to deduct advertising expenses as a business cost — consult your accountant.

Revenue Allocation (77/20/3)

All ad revenue is allocated according to the following fixed split:

• 77% — Loan Fund: payments made directly to borrower loan servicers
• 20% — Operations: A77 Inc. operating costs (hosting, development, admin, legal)
• 3% — Processing: Stripe payment processing fees and transaction costs

This split is applied uniformly to all revenue. A77 Inc. does not retain any portion of the 77% loan fund allocation.

Note:This allocation is the guiding split that A77 Inc. uses to operate PMSL. It is subject to change at A77's sole discretion based on cost conditions, operational requirements, infrastructure expenses, regulatory obligations, or other factors. A77 Inc. reserves the right to adjust these percentages at any time without prior notice.

Advertiser Terms

Content Policy

A77 Inc. reserves the right to reject or remove any advertisement at its sole discretion. The following categories are expressly prohibited:

• Payday lenders and predatory lending services
• Gambling, sports betting, and online casinos
• Cannabis, CBD, and recreational drug products
• Political advertising, PACs, and advocacy campaigns
• Adult content, pornography, and escort services
• Cryptocurrency, NFTs, and speculative digital assets
• MLM, network marketing, and pyramid-style business models
• Hate speech, discriminatory content, or content promoting violence
• Misleading health claims and unregulated supplements
• Weapons, ammunition, and explosives
• Tobacco and vaping products

Advertisers whose content is removed for policy violations will be notified. Repeated violations will result in permanent account termination.

Applicant Terms

Social Impact Test Project — Read This Carefully

PMSL is a social impact test project operated by A77 Inc. It is not a commercial-grade service. It is not a production platform. It is an experimental, beta-stage initiative built to explore whether ad-funded student loan relief is viable.

By using PMSL in any capacity — as an advertiser, applicant, or visitor — you acknowledge and accept that this is a test project. There is no guarantee of service, quality, availability, uptime, performance, functionality, or any other aspect of the platform. The platform is provided strictly on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

A77 Inc. expressly disclaims all warranties. You use this platform entirely at your own risk.

Outages, Downtime & No Make-Up Time

Outages, crashes, bugs, technical issues, data loss, and service interruptions are expected. This is a beta test project. The platform may go down at any time, for any duration, for any reason — including but not limited to server failures, code bugs, deployment errors, infrastructure provider outages (Stripe, Supabase, Vercel, or any other third party), cyberattacks, human error, or simply because A77 Inc. chose to take it offline.

No rental time, ad display time, or service period will be extended, credited, refunded, or otherwise made up for any downtime, regardless of cause or duration. If the platform is offline for one hour, one day, one week, or permanently, your rental period continues to run and expires on its original end date. No free time will be re-allocated, no extensions will be granted, and no compensation of any kind will be provided.

A77 Inc. reserves the right to modify, suspend, or permanently shut down the PMSL platform at any time, with or without notice, for any reason. This includes the right to discontinue the entire project permanently. A77 Inc. is under no obligation to notify users in advance of any shutdown.

You accept all of this as a condition of using the platform.

All Purchases Final — No Refunds, No Exceptions

Every purchase on PMSL is final. There are no refunds, no credits, no returns, no cancellations, no chargebacks, and no exceptions — under any circumstances whatsoever.

This means you will not receive your money back if:

• The platform crashes or goes offline during your rental
• The platform shuts down permanently
• Your ad is not displayed for all or part of your rental period
• The platform attracts zero traffic
• Your uploaded content is lost or corrupted
• Features change, break, or are removed
• You are dissatisfied with the service for any reason
• A77 Inc. decides to discontinue the project
• Technical issues prevent your ad from rendering
• Any other reason, foreseeable or unforeseeable

By completing a purchase, you voluntarily assume all financial risk. This is a social impact project, not a commercial advertising platform with service-level guarantees.

Complete Waiver of Rights

BY USING PMSL, YOU VOLUNTARILY, KNOWINGLY, AND IRREVOCABLY WAIVE ANY AND ALL RIGHTS, CLAIMS, CAUSES OF ACTION, AND DEMANDS OF EVERY KIND AND NATURE — whether known or unknown, suspected or unsuspected, existing now or arising in the future — against A77 Inc., its directors, officers, shareholders, partners, members, employees, agents, contractors, consultants, affiliates, successors, assigns, and any person or entity associated with A77 Inc. or the PMSL project (collectively, the "A77 Parties").

This waiver covers, without limitation:

• Claims for refunds, credits, or compensation of any kind
• Claims arising from platform outages, downtime, or unavailability
• Claims arising from data loss, corruption, or security breaches
• Claims for lost profits, lost business, or lost opportunities
• Claims arising from changes to features, pricing, or terms
• Claims arising from platform shutdown or discontinuation
• Claims arising from ad non-delivery or underperformance
• Claims arising from delayed or unfulfilled loan payments
• Claims for emotional distress, inconvenience, or disappointment
• Any and all other claims of any nature whatsoever

This waiver is intended to be as broad and comprehensive as permitted by applicable law. You agree that you will not bring any claim, action, suit, or proceeding of any kind against any of the A77 Parties in connection with your use of PMSL. If any portion of this waiver is found unenforceable, the remainder shall continue in full force.

Limitation of Liability — Zero Liability

THE A77 PARTIES HAVE ZERO LIABILITY TO YOU. BY USING PMSL, YOU HAVE WAIVED ANY AND ALL RIGHTS TO BRING ANY CLAIM OF ANY KIND AGAINST ANY OF THE A77 PARTIES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE A77 PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR ANY OTHER LOSS ARISING FROM YOUR USE OF PMSL — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

THE TOTAL AGGREGATE LIABILITY OF ALL A77 PARTIES IS $0.00 CAD. YOU HAVE WAIVED ALL CLAIMS. THERE IS NO CIRCUMSTANCE UNDER WHICH ANY A77 PARTY OWES YOU ANYTHING.

Where any jurisdiction does not allow the complete exclusion of liability, the liability of the A77 Parties shall be limited to the absolute minimum permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless the A77 Parties from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including legal fees) arising from your use of PMSL, your violation of these Terms, your violation of any law or third-party right, any content you upload to the platform, any claim by a third party related to your advertisements, and any tax obligations arising from your participation. This obligation survives termination of these Terms.

No Guarantee of Anything

A77 Inc. makes zero guarantees about any aspect of PMSL. This includes but is not limited to:

• No guarantee the platform will be available at any given time
• No guarantee of uptime, speed, or performance
• No guarantee your ad will be displayed or seen by anyone
• No guarantee of any impressions, clicks, or conversions
• No guarantee that loan applicants will receive funding
• No guarantee of any funding timeline
• No guarantee that the project will continue to exist
• No guarantee of data preservation or integrity
• No guarantee of feature availability or stability
• No guarantee of service quality at any level

This is a test project. Treat it as such.

Intellectual Property

The PMSL platform and all associated content is the exclusive property of A77 Inc. By uploading content, you grant A77 Inc. a non-exclusive, worldwide, royalty-free license to display and distribute your content in connection with operating PMSL. You represent that you own the rights to all content you upload and that it does not infringe on any third party's rights.

Data Handling During Beta

Data storage practices may change without notice. Data may be lost, corrupted, or become inaccessible at any time. A77 Inc. is not responsible for any data loss whatsoever, including ad creatives, account information, or transaction records. You are solely responsible for maintaining your own backups. Conduct Clause

A77 Inc. may pause or terminate any advertiser account or applicant participation if the individual or business engages in conduct that, in A77's sole judgment, causes or threatens reputational damage to the PMSL platform or A77 Inc. This includes but is not limited to public defamation, fraudulent claims about the platform, harassment of other users, or any activity that undermines public trust in the program.
